It would depend on the circumstances of the fight. At best, Spider-Man could knock Wolverine out. They've squared off several times in the past, and it always goes like this.

Spider-Man goes "wtf" and leaves.
However, if Wolverine had gone rogue, or somehow threatened Spider-Man's family, he'd go down. Spider-Man defeated the fucking Juggernaut, and has squared off with and contained the Hulk. Wolverine is no problem if Spidey takes it seriously. Wolverine would never even get close.

It's kind of a weird fight because Spiderman has what it takes to fight wolverine effectively, but not what it takes to kill him or wear him out. Wolverine's got that pesky healing factor and a heck of a lot of stamina. He also has the ability to end the fight real quick if he gets one good shot in. For the most part, this should be Spidey's fight, primarily for his superior intellect, but wolverine can be quite cunning at times... but probably not cunning enough for a spider sense. He's got a heck of a military background, which a lot of people forget about, so I'm willing to bet that he could arrange a hell of a trap, possibly making the spidersense irrelevent.
All in all, my monies are on Spiderman, but it's anybody's fight.
I probably don't know enough about Spidey of Wolverine to venture and opinion here but what the heck ...

Spidey is agile enough that Wolvie wouldn't lay a claw on him, generally speaking. Peter is smart enough to make webbing that is too strong for Logan to break (not cut, just raw strength). Easier said than done, but I have to believe Spidey could eventually pin both of Wolverine's wrists simultaneously ... end of fight.
As for killing him, Spidey wouldn't but he could. First attempt: insert fingers into eye sockets, stir vigorously. Second attempt (if needed): apply fire or acid until nothing remains but a shiny adamantium skeleton.
Regeneration is a great defense, but all you need to do to defeat it is apply damage constantly. As any City of Heroes regen scrapper will tell you, keep up a high DPS and it's all over.

Bullshit or no, against regen continuous damage from fire or acid should be more effective (in principle) than any one-shot damage may be, even from a nuke. Keep up the damage and eventually he'll be down to his component atoms.
Naturally, when you push it that far the whole idea is completely retarded, which is why in my book Spidey > Wolverine.

Depending on who's writing the comic, Wolverine can regenerate from a direct hit with an atomic bomb (which is bullshit).
Also, it doesn't seem to matter how you pin his wrists, popping his claws always seems to burst whatever binds he's in.
